1. About Munoz Design District

Munoz Design District ("the Platform", "we", "us", "our") is a lead-generation and referral marketplace that connects homeowners and clients ("Clients") with licensed home improvement and design professionals ("Professionals"). Munoz Design District does not perform any construction, design, or renovation services. We solely facilitate introductions between Clients and Professionals and are not a party to any agreement between them.

2. Professional Membership & Referral Fee Agreement

By registering as a Professional on this platform, you explicitly agree to the following terms:

• Referral Fee: Munoz Design District charges a referral fee of 3% to 8% of the total confirmed contract value for any project sourced through the platform. The exact percentage will be communicated and agreed upon at the time of the client match.
• Payment Method on File: Upon accepting a client match, you are required to provide a valid payment method (credit/debit card or ACH bank account) via our secure Stripe-powered payment system. This method will be used to collect the referral fee. Your payment method will not be charged until the project is confirmed as proceeded.
• Project Outcome Reporting: Within the agreed window, you must report whether the client proceeded with the project or did not move forward. You may report one of the following: (a) Project Won — the contract was signed and work is proceeding; or (b) Project Did Not Proceed — the client chose not to move forward.
• Verification Rights: Munoz Design District reserves the right to independently verify any reported outcome by contacting the client directly or through other reasonable means. If verification determines that a project proceeded contrary to your report, the applicable referral fee will be due immediately in accordance with this agreement.
• Accuracy of Contract Value: When reporting a "Project Won" outcome, you must enter the accurate final contract amount. Munoz Design District reserves the right to verify the reported contract value. If the amount entered is found to be inaccurate or intentionally misrepresented, the referral fee will be recalculated based on the verified contract value and charged accordingly.
• Charge Timeline: For card payments, the referral fee will be charged within 3–7 business days following admin approval. For ACH bank transfers, the charge will be initiated immediately upon admin approval and will settle within 3–5 business days per standard ACH processing timelines.
• False Reporting: Submitting a false "Did Not Proceed" report is a material breach of these terms. Such conduct may result in immediate removal from the platform, forfeiture of all pending commissions, and potential legal action to recover the referral fee owed.
• Circumvention is Prohibited: You may not contact, solicit, or engage any client introduced through Munoz Design District outside of the platform's referral system for the purpose of avoiding a referral fee. Circumvention is a material breach of these terms and may result in permanent removal and legal action.
• License Accuracy: You agree to provide accurate professional license information. Misrepresentation of credentials is grounds for immediate removal and may be reported to the relevant state licensing authorities.

3. Client Agreement

As a client using this platform, you acknowledge and agree to the following:

• You will provide accurate project descriptions, contact information, and budget details.
• Munoz Design District introduces you to licensed professionals but does not guarantee the outcome, quality, or timeline of any work performed.
• Quality Disputes: Any dissatisfaction with the quality of work performed by a Professional is a matter between you and that Professional directly. Munoz Design District is not responsible for the results of any construction, design, or renovation services and cannot issue refunds on behalf of Professionals for work already performed.
• You will not directly hire or engage any Professional introduced through the platform for the same or similar project scope without going through the platform's referral process.
• You agree to treat all Professionals with respect and professionalism.

4. Quality of Work Disclaimer

Munoz Design District is a referral platform only. We are not a contractor, designer, or service provider of any kind. We do not supervise, direct, or control the work performed by any Professional on the platform. As such:

• We make no warranties regarding the quality, safety, timeliness, or outcome of any services rendered by Professionals found through the platform.
• Any dissatisfaction with work quality, project delays, cost overruns, or other service-related issues must be resolved directly between the Client and the Professional.
• A Client's dissatisfaction with completed work does not affect the Professional's obligation to pay the referral fee, as the fee is based on the execution of a contract — not the Client's satisfaction with the results.
• We strongly encourage Clients to review all contracts carefully, obtain necessary permits, and confirm licensing before work begins.

5. Payments & Referral Fee Collection

All referral fees are processed through Stripe, a PCI-compliant payment processor. By using the platform as a Professional:

• You authorize Munoz Design District to charge your payment method on file for the agreed referral fee upon project confirmation and admin approval.
• Card payments are charged within 3–7 business days of approval. ACH payments are initiated immediately upon approval and settle within 3–5 business days.
• Referral fees are non-refundable once a contract between a Client and Professional has been executed, regardless of whether the project is subsequently cancelled, modified, or disputed.
• In the event of a failed charge, you remain liable for the referral fee and Munoz Design District reserves the right to pursue collection through all available legal means.

6. Dispute Resolution

In the event of a dispute between a Client and a Professional:

• Both parties must first attempt to resolve the matter directly and in good faith.
• If unresolved, either party may contact Munoz Design District at studio@munozdesigndistrict.com to request mediation assistance.
• Munoz Design District will review available evidence and provide a non-binding recommendation within 10 business days.
• For disputes between Munoz Design District and a Professional regarding referral fees exceeding $5,000, both parties agree to binding arbitration under the rules of the American Arbitration Association in Miami-Dade County, Florida.
• Munoz Design District's decisions regarding platform access, commission calculations, and account standing are final.

7. Prohibited Conduct

The following conduct is strictly prohibited and may result in immediate account termination, forfeiture of payments, and legal action:

• Creating false or misleading professional profiles.
• Submitting fraudulent project requests or false project outcome reports.
• Circumventing the platform to avoid referral fees.
• Harassment, threats, or abusive behavior toward any user or staff member.
• Providing false license numbers or fraudulent credentials.
• Intentionally misrepresenting the final contract value to reduce referral fees owed.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Munoz Design District shall not be liable for:

• Any property damage, personal injury, financial loss, or other harm resulting from services performed by a Professional found through the platform.
• The accuracy of license or credential information provided by Professionals, notwithstanding our verification efforts.
• Any indirect, incidental, consequential, or punitive damages arising from use of the platform.

Our total liability to any party shall not exceed the referral fee collected on the relevant transaction.

9. Termination

Munoz Design District reserves the right to suspend or permanently terminate any account at any time for violation of these terms, fraudulent activity, non-payment of referral fees, or any conduct deemed harmful to the platform or its users. Termination does not relieve any Professional of outstanding referral fee obligations.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, United States. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of Miami-Dade County, Florida.

11. Changes to Terms

Munoz Design District may update these Terms of Service at any time. Continued use of the platform following any changes constitutes acceptance of the revised terms. We will notify registered users of material changes via email with at least 7 days notice before the changes take effect.
